General Terms and Conditions (GTC) for Sally's Influencer Partner Programme
1. Scope and subject matter of the contract
(1) These General Terms and Conditions ("GTC") govern participation in the influencer programme of Aliru GmbH ("Provider") for the promotion of the AI-based software "Sally".
(2) Participants in the Influencer Programme ("Influencers") receive a commission on the licence sales generated by the new customers they refer for the successful referral of new customers.
(3) Participation in the Influencer Programme is free of charge for Influencers.
2. Conditions of participation
(1) There is no minimum requirement regarding the number of followers the Influencer has. Registration is done through an automated process. The Provider will manually check the suitability of participants.
(2) The provider reserves the right to exclude participants from participation without giving reasons, in particular in the event of moral or legal concerns.
(3) The influencer is free to choose their own topics.
(4) The influencer may only distribute the tracking link assigned to them via approved and reputable channels, such as their own websites, social media, YouTube or newsletters. Spam, unauthorised advertising or use on dubious websites are prohibited.
3. Remuneration and tracking
(1) The influencer shall receive a commission of 25% of the actual licence revenue generated by the customers they refer.
(2) A commission will only be paid for actual payments made by the referred customers. Cancelled, refunded or unpaid amounts are not eligible for commission.
(3) There is no upper limit on the amount of commission.
(4) The influencer will receive a personalised tracking link, which is required to identify the customers they refer. The tracking link is used exclusively for the purpose of tracking referrals and calculating the associated commission.
(5) Customers must manually enter the discount code provided by the provider in order to receive the 10% discount on their licence fees. The discount code is the same for all customers and cannot be combined with other discount campaigns or special offers.
(6) The tracking link remains valid for a period of 60 days after the potential customer clicks on the link. If the customer makes a booking within this period, the commission will be credited to the influencer.
(7) The commission will be paid automatically in accordance with the payment interval of the referred customer. For example, if the customer makes an annual payment, the commission will also be paid annually. The minimum amount for the payment of the commission is £50, regardless of the payment interval.
(8) The commission is paid on a recurring basis for up to 10 years, provided that the contractual relationship has not been terminated.
(9) The influencer may also use the discount code for their own purchase of a Sally licence. However, commission payments for their own bookings are excluded.
(10) All commission payments shall be made exclusively via the tools provided by "FirstPromoter".
4. Contract term and termination
(1) Participation in the Influencer Programme is initially limited to a period of two years. The contract is automatically extended for a further two years unless the contractual relationship is terminated at the time of renewal.
(2) The provider may terminate the contract at any time for good cause. Good cause shall be deemed to exist in particular if the influencer violates legal provisions, these GTC or moral or ethical standards.
(3) The provider reserves the right to decide individually on the specific consequences in the event of a breach of the terms and conditions.
(4) The Influencer may terminate the contract at any time with four weeks' notice to the end of the month. Notice of termination must be given in writing.
(5) Upon termination of the contract, all commissions outstanding until the end of the billing period shall be paid to the Influencer.
5. Advertising guidelines
(1) The Influencer is not obliged to use specific wording or hashtags.
(2) All advertising measures taken by the Influencer must comply with the applicable legal provisions. In particular, misleading, unfair or deceptive advertising and violations of competition or data protection laws are prohibited.
(3) The Influencer shall be liable for all violations of the advertising guidelines caused by their actions or omissions.
(4) Advertising that is carried out in a misleading or deceptive manner is not permitted.
(5) The influencer is prohibited from tracking themselves as a referred customer and generating commission payments for their own bookings.
(6) The discount code may not be combined with other discount campaigns or special offers.
6. Data protection and data processing
(1) The provider collects and processes personal data of participants to enable the implementation of the influencer programme. The following data is collected:
• First name, last name
• Telephone
• Full (business) address
• Company name (if applicable)
• VAT ID (if applicable)
(2) This personal data will be processed in accordance with the provider's privacy policy, which can be viewed at any time on the provider's website.
(3) The influencer has the right at any time to request information about the data stored by the provider and to request its deletion, provided that there are no legal obligations to retain it.
7. Final provisions
(1) The law of the Federal Republic of Germany applies.
(2) Should any provision of these General Terms and Conditions be invalid or unenforceable, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a valid provision that comes as close as possible to the economic purpose of the invalid provision.
(3) The place of jurisdiction for disputes arising from or in connection with these General Terms and Conditions is the registered office of the Provider (Mannheim), provided that the Influencer is a merchant within the meaning of the German Commercial Code.
